. • Managed the preparation of all documentation transferring over 1,600,000 acres of Union Camp lands in five states
to the appropriate International Paper subsidiaries.
. • Furnished the legal guidance for the initiation and implementation of IP’s Quality Supplier Program which reduced
and consolidated the universe of suppliers to IP while assuring a consistent stream of dependable supplies. This project
involved complex contract drafting issues as well as consideration of anti-trust issues relating to IP’s market dominance in
some areas and the need for structuring the implementation of the program to avoid lawsuits for allegedly wrongful
termination of suppliers.
. • Represented the legal department on the forest resources team charged with incorporating e-commerce into the
procurement process, including research on the legal consequences of electronic storage of documents and the validity of
various methods of electronic contract formation.
. • Generally furnished the legal support for IP’s Forest Resources’ Eastern regions, including day to day activities of
contract review and preparation, including consulting and confidentiality agreements, advice on entity formation and the
purchase, sale and exchange of timberlands. Regularly handled transactions in excess of $20,000,000.00.

. • Reported directly to General Counsel with dotted line reporting to Vice-President, Forest Resources, to Vice-
President, Corporate Engineering and to President of the Branigar Organization, Union Camp's real estate development
. • Initiated and participated in design of computerized contract formation system for purchasing activities which
allowed the purchasing department to make changes in contracts without, in most cases, requiring additional legal
department review. This was accomplished by analyzing the areas of the contracts most often subject to negotiation and
preparing pre-approved alternative language which could be inserted by the purchasing agents, if necessary, to meet the
most frequently encountered objections to our standard language.
. • Participated with the General Counsel for the State Department of Transportation in drafting the first joint venture
cooperative agreement between the DOT and a non-public entity for design and construction of an Interstate Highway
interchange for the benefit of the people of Georgia and the adjoining landowner (Union Camp).
. • Prepared all equipment, construction and EPC (Engineer, Procure, Construct) contracts for Union Camp’s
Corporate Engineering Division’s activities in the US and retained and supervised outside counsel for fulfillment of that
function in connection with its overseas activities, including projects in India and South America.
. • Participated with other in-house lawyers in designing and implementing Union Camp’s corporate compliance
program for the areas of anti-trust, environmental issues, EEOC matters and other federal and state regulatory matters.
. • Represented Union Camp in the drafting of a joint venture agreement between Union Camp and two other large
forest products companies allowing us to bid on, purchase and allocate over 300,000 acres of timberlands in four states
costing in excess of $300,000,000.00.
